Banking Agreement and Disclosure
The following is a copy of The Agreement offered on line as a preface to the
Internet Banking Services Enrollment Form:
This Internet Banking Agreement and Disclosure (The Agreement) explains the
terms and conditions governing basic Internet Banking Services offered by Bank
of Grove. By using our Internet Banking Services, you agree to abide by the
terms and conditions of The Agreement. For clarity, the terms "we", "us", "our"
and "Bank of Grove" refer to the Bank of Grove. "You" refers to each person who
enrolls for Internet Banking services and has a password.
Your Internet Banking services and each of your accounts are also governed by
the applicable Disclosures, Rates and Fee Schedules provided by Bank of Grove in
your deposit and loan agreements given to you when your accounts were
established. Collectively these are called the "Bank of Grove Bank Documents."
You are responsible for paying any fees assessed by your Internet Service
Provider and for any telephone charges or fees incurred by accessing Internet
Banking Services.
Your initial use of Internet Banking Services constitutes your acceptance of and
agreement to be bound by all of the terms and conditions of The Agreement and by
the "Bank of Grove Bank Documents", and acknowledges your receipt and
understanding of this agreement.
You are liable for all transactions made or authorized using your password. Do
not, under any circumstances, disclose your password by telephone or to anyone
claiming to represent Bank of Grove. Bank of Grove employees do not need
and should not ask for your password. Do not disclose your password to
anyone. If, despite the Bank of Grove's advice, you give your password to
anyone, you do so at your own risk. Anyone with access to your Internet Banking
password or other means of account access will have full access to your
accounts, even if you attempt to limit that person's authority. Should you
believe your password has been compromised, please request that it be changed
immediately. You must notify the Bank of Grove that your password has been lost,
stolen or otherwise compromised.
The Bank of Grove is entitled to act on instructions received through Internet
Banking under your password and without inquiring into the identity of the
person using the password. Bank of Grove has no responsibility for establishing
the identity of any person using your password.
Internet Banking Services enrollment: Each family has a portfolio, which
includes all accounts owned by the members of that immediate family. These
accounts may all be held jointly by the family members or may be made up of any
number of ownership combinations. For example: Mom and Dad may have one or more
joint accounts. The children may have accounts with Mom and/or Dad on them as
signers. Dad and/or Mom may have single owner accounts. The number of
combinations in your portfolio and the accounts you wish to view determines the
number of Internet Banking Accounts you need. For example: If Mom and Dad have
joint account/s and they are both signers of the children's accounts they can
have one enrollment, which will allow them to see all the accounts in the
portfolio. If the children wish to see their accounts, each child would need to
enroll separately. The only accounts they could see would be the accounts they
own. They would not be able to see their parents' accounts even though they are
all in the same portfolio.
You are liable for all transactions that you or any other owner/signer make or
authorize even if the other person exceeds the authority you intended or agreed
upon. You hereby agree to release the Bank of Grove from any liability and agree
not to make any claim or bring any action against us for striving to carry out
the requests made through the Internet Banking System under your password. You
also agree to indemnify the Bank of Grove and hold it harmless from and against
any and all liability (including but not limited to reasonable attorney fees)
arising from any such claims or actions.
The Bank of Grove has the right to deny, modify or terminate this agreement at
any time. We will comply with any notice requirements under applicable law for
such changes or termination. If we terminate The Agreement, no further Internet
Banking transfers will be made. If we modify The Agreement, your continued use
of Internet Banking Services will constitute your acceptance of such changes in
each instance.
Additional provisions with regard to Internet Banking:
Electronic Funds Transfer Act
Some of the transfers permitted through Internet Banking Services may be
governed by the Electronic Funds Transfer Act (the "EFTA"), and some of the
terms and conditions of this Agreement are disclosures required by the EFTA.
Commercial account holders are not covered by the EFTA and therefore certain
provisions will not be applied to commercial accounts.
Online Business Day/Hours of Operation
The Internet Banking Service is available 24 hours a day, seven days a week,
except during maintenance periods. Transactions initiated before 6:00 P.M. CST
on a business day are posted to your account the same day. Transactions
initiated after that time on a business day, Saturday, Sunday or bank holiday,
will post on the next business day.
Computer Requirements
Access to Internet Banking will be provided through the Worldwide Web of the
Internet. You are solely responsible for the set up, installation, operation,
and maintenance of the equipment you use to access the Internet Banking Service
and for providing your own access to the Internet through the Internet Service
Provider of your choice. Your browser must support at least 128-bit encryption.
We are not responsible for the cost of upgrading your equipment to stay current
with the Internet Banking Service. We are not responsible for any errors or
failures from any malfunction of your computer and we are not responsible for
any computer virus or related problems that may be associated with the use of
your computer. In addition, the display of your Internet Banking Service is
designed to work best with 800 X 600 monitor resolution.
Privacy and Confidentiality
The Bank of Grove is strongly committed to protecting your security and
confidentiality. To ensure the privacy of your account information while you are
online, you are only able to access your account with high security browsers.
Once logged in, if no action is taken within 10 minutes you will automatically
be logged off. You are limited to a session of 20 minutes each time you access
Internet Banking Services. Our customer privacy statement can be obtained via
the "Privacy Policy" link on our home page.
Funds Transfer Limitations
Your ability to transfer funds between certain accounts is limited by federal
law, as stated in the "Deposit Account Terms and Conditions." For example, you
can make no more than six (6) transfers from a statement savings or money market
deposit account per month and, in the case of a money market deposit account, no
more than three (3) such transfers may be made by check. Fund transfers made
using both Internet Banking Services and other transfer methods are counted
against the permissible number of transfers. Transfers made in person are not
subject to limitation.
Statements
You will not receive a separate Internet Banking Services statement. We will
mail or deliver periodic statements to you as provided under the account
agreement. In addition to other account activity, these statements will include
any transactions authorized using the Internet Banking Service.
Links to Other Sites
Our website may contain links to websites not operated by the Bank of Grove.
We provide these links for your convenience, but we do not review, control, or
monitor the materials on any other websites. We do not control, guarantee,
endorse or have any responsibility for the content, recommendations, products or
services provided by the linked sites. We are not responsible for the
performance of those sites or for your business dealings with them. We are not
liable for any failure of products and services advertised on those sites.
Please use caution when using linked websites as they may be less secure than
the Bank's website.
Electronic Messaging and Notices
General inquiries concerning maintenance and other issues should be directed to
a Customer Service Representative at the Bank of Grove. See the "Contact Us"
link on the Bank of Grove home page. You should not use this form or regular
e-mail to initiate banking transactions or give personal identifying
information. This form is not located on a secured encrypted server.
Our Liability for Failure to Complete Transactions
If a transfer to or from your account is not completed on time or in the correct
amount, according to our agreement with you, we may be liable for a portion of
your losses or damages. However, the following exceptions apply:
- If, through no fault of ours, you do not have enough money in your
account to make the transfer;
- If the money in your account is subject to legal process or other
encumbrances restricting transfer;
- If the Internet Banking System was not working properly when you started
the transfer;
- If circumstances beyond our control (such as fire, flood or systems
failure) prevent the transfer, despite reasonable precautions that we have
taken.
Termination
You may terminate the use of this Internet Banking Service by contacting the
Bank of Grove in writing by mail, e-mail or personal delivery. If your account
is closed or restricted for any reason, Internet Banking accessibility will
automatically terminate.

Password
You will be required to change your password the first time you log in to the
Internet Banking System. Your password must be:
- 8 - 16 Characters
- 4 Alpha
- 2 Numeric
- Case Sensitive
You will be required to change your password periodically to enhance
security. If you forget your password please contact us at 918-787-5700
to have a new temporary password issued. Please safeguard your password and do
not, under any circumstances, release it to anyone.
Online Bill Pay
Agreement and Disclosure
These terms and conditions constitute the agreement ("Agreement") between you
and Bank of Grove with respect to the provision of Online Bill Payment Services
(the "Service") to you. Your use of the Service constitutes your agreement to be
bound by the terms of this Agreement and that your contract is with the Bank of
Grove, who is responsible to you for the provision of the Service. For clarity,
the terms "we", "us", "our" and "Bank of Grove" refer to the Bank of Grove. In
this Agreement the words "you" and "yours" mean each person whom signed the
application; the terms "us" and "we" means the Bank of Grove.
BILL PAYMENT SERVICE
By providing the Bank of Grove with the names and account information of those
persons or entities to whom you wish to direct payment, you authorize the Bank
of Grove to follow the payment instructions that it receives from you through
the bill payment program. When the Bank of Grove receives a payment instruction,
you authorize the Bank of Grove to charge your transaction account on the
selected Process Date and remit funds to the designated payee on your behalf.
In the following instructions, the Process Date is defined as the day you
request the Bank of Grove to process the payment.
A Business Day is defined as Monday through Friday up to 6:00pm (Central Time)
excluding weekends and holidays.
All authorized payments will be processed and charged to your transaction
account on the Business Day you select as the Process Date. The Payment will be
mailed on the next Business Day.
If you select a Process Date that is a Saturday or a Sunday, the payment will be
processed on the following Business Day. If the selected Process Date is a
holiday, the payment will be processed on the following Business Day. Again, the
payment will be mailed on the next Business Day.
For this reason, it is recommended that all Process Dates selected by you be at
least five Business Days before the actual "payment due date", not the late date
and/or grace period. If you properly follow the procedures described herein, and
the Bank of Grove fails to send a payment according to the payment instructions
received, the Bank of Grove will bear responsibility for all late charges. In
any other event, including but not limited to choosing a Process Date which is
not five business days before the due date or on or past the due date stated on
your invoice, the risk of incurring and the responsibility for paying any and
all late charges or penalties shall be borne by you.
Note: The Service may not be used to pay taxes or court-directed payments.
The Bank of Grove will use its best efforts to make all your payments properly.
If we do not complete a payment on time or in the correct amount according to
the Agreement, we will be liable for your losses and damages. However, there are
some exceptions to this liability. For instance, we will not be liable in the
following circumstances:
- If through no fault of ours, you do not have enough funds in your
account to make the transfer, or the transfer would exceed the credit limit
on any overdraft line associated with the account;
- The equipment or software used by the Bank of Grove to provide the
Service was not working properly and you knew or were advised by the Bank of
Grove about the malfunction before you executed the transaction;
- You have not provided the Bank of Grove with the correct names,
addresses or account information for those persons or entities to whom you
wish to direct payment:
- Circumstances beyond our control (such as, but not limited to, fire,
flood, or interference from an outside force) prevent the proper execution
of the transaction despite the reasonable precautions we have taken;
- You have reported your Password as lost or stolen;
- Your Service has been cancelled;
- If the funds in your account are unavailable because of garnishment,
levy, or other hold requirements imposed upon us by law or by a government
agency or court orders.
PASSWORD AND SECURITY
You agree not to give or make available your Online Password to any unauthorized
individuals. If you believe that your Password has been lost or stolen or that
someone may attempt to use the Service without your consent or has transferred
money without your permission, you must notify the Bank of Grove at once.
LIABILITY FOR TRANSACTIONS
You are liable for all transactions made or authorized using your password. Do
not, under any circumstances, disclose your password by telephone or to anyone
claiming to represent Bank of Grove. Bank of Grove employees do not need and
should not ask for your password. Do not disclose your password to anyone. If,
despite the Bank of Grove's advice, you give your password to anyone, you do so
at your own risk. Anyone with access to your Internet Banking password or other
means of account access will have full access to your accounts, even if you
attempt to limit that person's authority. Should you believe your password has
been compromised, please request that it be changed immediately. You must notify
the Bank of Grove that your password has been lost, stolen or otherwise
compromised.
The Bank of Grove is entitled to act on instructions received through Internet
Banking under your password and without inquiring into the identity of the
person using the password. Bank of Grove has no responsibility for establishing
the identity of any person using your password.
ERRORS AND QUESTIONS
In case of errors and questions about your electronic transfers or payments, you
should contact us as soon as you.
If you think that your statement is wrong or you need more information about a
transfer listed on the statement, you must notify us no later than sixty (60)
days after you received the first statement on which the problem or error
appeared.
DISCLOSURE OF ACCOUNT INFORMATION TO THIRD PARTIES
We will disclose information to third parties about your account or the
transfers you make only in the following situations:
- Where it is necessary for completing transfers.
- In order to verify the existence and condition of your account to a
third party, such as a credit bureau or merchant.
- To a consumer reporting agency for research purposes only.
- In order to comply with a governmental agency or court orders.
- If you give us your written permission.
CHARGES
As a user of the Service, you will not be charged a fee. For other charges
applicable to your deposit account, refer to your product brochure.
DOCUMENTATION OF TRANSFERS:
You will get a monthly account statement. However, with respect to a savings
account, if there are no electronic funds transfers in a particular month, you
may not get a statement monthly but you will get a statement at least quarterly.

STOPPING PAYMENT OF PREAUTHORIZED TRANSFERS FROM YOUR ACCOUNT:
If you have told us to make payments out of your account and you wish to stop
any of these payments, telephone us before Noon (Central Time) on the Business
Day that the payment will be processed and we will attempt to stop the payment
IN THE EVENT YOU HAVE INSUFFICIENT FUNDS
In using the Service, you are requesting the Bank of Grove to make payments for
you from your Bank of Grove account. If we are unable to complete the
transaction (for example, there are not sufficient funds in your account to
cover the transaction), the payment or transfer transaction may not be
completed. In some cases your account may be overdrawn and you will be charged
NSF fees as agreed upon in your deposit account.
ALTERATIONS AND AMENDMENTS
The terms of this Agreement, applicable fees and service charges may be altered
or amended by the Bank of Grove from time to time. In such event, the Bank of
Grove will post the amended terms or conditions on the Online BillPay page of
this website. Any use of the Service after the Bank of Grove posts this change
will constitute your agreement to such change(s). Further, the Bank of Grove may
from time to time revise or update the programs, and/or related material which
may render all such program versions obsolete. Consequently, the Bank of Grove
reserves the right to terminate this Agreement as to all such prior versions of
the Service, and/or related material and limit access to the Bank of Grove's
more recent revisions and updates of the Service.
TERMINATION OR DISCONTINUATION
In the event you wish to discontinue the Service, you must contact the Bank of
Grove in writing. Written notice of service discontinuance must be supplied ten
(10) days prior to the actual discontinuation date and must be sent to:

The Bank of Grove may terminate use of the Service by any individual at any
time. Neither termination nor discontinuation shall affect your liability or
obligation under this Agreement.
MERCHANT OR PAYEE LIMITATION
The Bank of Grove reserves the right to refuse to pay any person or entity to
whom you may direct a payment. The Bank of Grove is obligated to notify you
promptly if it decides to refuse to pay a person or entity designated by you.
This notification is not required if you attempt to pay tax or court-related
payments, which are prohibited under this Agreement.
INFORMATION AUTHORIZATION
You agree that the Bank of Grove reserves the right to obtain financial
information regarding your account from a merchant, another payee or financial
institution to resolve payment-posting problems.
DISPUTES
In the event of a dispute regarding the Service, you and the Bank of Grove agree
to resolve the dispute by looking to this Agreement. You agree that this
Agreement is the complete and exclusive statement of the agreement between you
and the Bank of Grove which supersedes any prior agreement, oral or written, and
any other communications between you and the Bank of Grove relating to the
subject matter of this Agreement except to the extent that this Agreement may be
subsequently modified by the Bank of Grove posting additional terms or
modifications on the Web Site as described under the Alterations and Amendments
section of this Agreement above. If there is a conflict between what a Bank of
Grove's employee says and the terms of this Agreement, the terms of this
Agreement shall control.
NO WAIVER
The Bank of Grove shall not be deemed to have waived any of its rights or
remedies hereunder unless such waiver is in writing and signed by the Bank of
Grove. No delay or omission on the part of the Bank of Grove in exercising any
rights or remedies shall operate as a waiver of such rights or remedies or any
other rights or remedies. A waiver on any one occasion shall not be construed as
a bar or waiver of any right or remedies on future occasions.
CAPTIONS
The captions of Sections hereof are for convenience only and shall not control
or affect the meaning or construction of any of the provisions for this
Agreement.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of
the State of Oklahoma, without regard to its conflicts of laws provisions.
